# Private Investors

The **Private Seed Round** is an exclusive early investment opportunity designed for strategic backers. This phase allows participants to acquire **LOX tokens** before public sales, benefiting from structured pricing and vesting schedules.

#### **Allocation Configuration**

* **Minimum Contribution:** 25 SOL
* **Maximum Contribution:** No max (until full allocation of 1 billion $LOX  tokens depleted) &#x20;
* **Pricing Structure:** Based on the current stage of the [**Seed Round**](/liftoff.monster/usdlox/seed-round.md)
* **Vesting:** Mandatory for all participants

### **Pricing Mechanism**

The token price is determined by the **current stage** of the **Seed Round**. For example, if the sale is in **Stage 3**, pricing for **VC & Private investors** aligns with that stage’s threshold.

### **Vesting Terms**

To ensure a sustainable token economy and prevent market manipulation, all purchases are subject to a **vesting schedule**:

#### **For Contributions Under 200 SOL:** ✅ **12-month linear vesting** (tokens released gradually each month)

#### **For Contributions Over 200 SOL:**

✅ &#x33;**-months cliff** (no tokens unlocked)\
✅ **15-month linear vesting** (tokens released gradually each month)

**⚡ Monthly Unlock:** A percentage of tokens is automatically unlocked every month based on the total allocation and vesting duration.

All private & VC Investors token allocation is distribution post signing the SAFT Agreement.&#x20;
